Non-Disclosure Agreements (NDAs), or Confidentiality Disclosure Agreements (CDAs), are legally binding contracts that establish a confidential relationship between parties to protect sensitive information like trade secrets, client lists, and intellectual property. They restrict the sharing of proprietary information, preventing unauthorized disclosure, and can be needed if parties (either Harvard or the other party, or both) are sharing confidential or proprietary information. Usually for Harvard, such agreements arise when Harvard researchers and PIs are seeking to find out more about another party, or share more about their research, in order to understand the potential of a joint project or activity.
